Terms of Service

These Terms govern your use of the InnoSpace website, platform and services. Please also read our Refund & Cancellation Policy and Privacy Policy, which form part of these Terms.

1. Who we are & acceptance

InnoSpace is operated by Sleep Easy (Pty) Ltd (UIN BW00000420813, VAT 420813000533) (“InnoSpace”, “we”, “us”), located at The Hub, iTowers, Ground Floor, Plot 54368, CBD, Gaborone, Botswana.

By registering for an account, booking a space, purchasing a membership, or otherwise using our website and services, you agree to these Terms of Service. If you do not agree, please do not use the services.

2. Accounts, registration & verification

You must be at least 18 years old and provide accurate, complete information. To register you may be required to upload a valid identity document (passport or Omang) for verification; you confirm that any document you submit is genuine and belongs to you. We may decline, suspend or remove accounts where information cannot be verified.

You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly of any unauthorised use.

3. Our services

We provide flexible workspace services, which may include:

  • Short-term (day) offices — booked by the day;
  • Meeting rooms — booked by the hour;
  • Long-term offices — monthly contracts with a security deposit;
  • Memberships — e.g. Mailbox and Virtual Office packages, billed monthly;
  • Access to the InnoSpace platform, internet, cleaning, business/postal address use, and selected additional services; and
  • Events and related information.

Service descriptions, availability and prices are shown on the relevant pages and may be updated from time to time.

4. Bookings & approval

Day and meeting-room bookings are submitted as requests and are subject to confirmation and availability. Standard access hours are 08:00–17:00, Monday to Friday, unless otherwise stated for your plan. A booking is only confirmed once approved and (where applicable) paid.

5. Memberships

Memberships are billed monthly in advance to your saved payment method and continue until cancelled. You may request upgrades; changes take effect as described at checkout. If a recurring membership payment fails, the membership is cancelled.

6. Long-term offices & security deposits

Long-term office contracts require a security deposit (equivalent to one month) plus the first month’s fee. Fees are payable monthly in advance. The deposit is held without interest and may be applied toward unpaid fees, key replacement, renovations or other agreed client liabilities, and is refundable after the contract ends and your obligations are discharged.

Either party may cancel a long-term contract on at least one month’s written notice. Late fees may attract interest, and prolonged non-payment may result in termination. A restoration fee may apply to contracts lasting more than three months. Long-term clients sign a separate Co-Working Agreement which, together with these Terms, governs the arrangement.

7. Pricing, fees & taxes

Prices are displayed in Botswana Pula (BWP). Unless stated otherwise, prices are shown exclusive of VAT, and VAT (currently 14%) is added at checkout. We may change prices from time to time; the price applicable to a booking or cycle is the one shown at the time of that purchase.

8. Payments & saved cards

Online payments are processed securely by our payment provider, DPO Pay. We do not store full card numbers. For memberships and long-term contracts that bill on a recurring basis, you authorise us to securely store a payment token and to charge your card for each cycle until you cancel. You consent to this when you opt in at checkout.

9. Cancellations & refunds

Day and meeting-room bookings can be cancelled up to 48 hours before the start time for a full refund; cancellations within 48 hours are not possible and are non-refundable. Membership and long-term cancellations take effect at the end of the current cycle. Full details, including security-deposit refunds, are in our Refund & Cancellation Policy. 10. Acceptable use & client obligations

While using our premises and platform, you agree to:

  • comply with these Terms and any posted rules;
  • use the premises for lawful office purposes only;
  • not cause noise, nuisance, damage or disturbance to others;
  • keep your space clean and not overload electrical or water supply;
  • not use the services for any illegal, fraudulent or improper purpose; and
  • insure your own belongings brought onto the premises.

Access rights depend on your membership type. We may suspend access for breach of these Terms or non-payment.

11. Intellectual property

The InnoSpace name, logo, website, platform and content are owned by or licensed to us and are protected by law. You may not copy, reproduce or use them without our written permission.

12. Liability & indemnity

The services and platform are provided on a reasonable-efforts basis. To the extent permitted by law, we are not liable for interruptions or errors in the services (including internet or telecommunications), or for loss, damage or injury to persons or property on the premises, except where caused solely by our negligence. You agree to hold us harmless from claims arising out of your use of the services, save for our own negligence.

13. Privacy

We process personal data in accordance with the Botswana Data Protection Act, 2024 and our Privacy Policy.

14. Suspension & termination

If you breach these Terms or fail to pay, we may, after any notice required by law or contract, suspend or terminate your access, bookings, membership or contract, and pursue any remedy available to us in law. Provisions that by their nature should survive termination will continue to apply.

15. Changes to these Terms

We may update these Terms from time to time. The current version is always available on this page, and continued use of the services after changes means you accept the updated Terms.

16. Governing law & disputes

These Terms are governed by the laws of Botswana. The parties will first try to resolve any dispute amicably; failing that, it may be referred to a court of competent jurisdiction in Botswana.
